Welcome to Sonia Boutique. Throughout this document, "we", "us", and "our" mean Sonia Boutique, a trading name of Ten Thirteen LLC, a Missouri limited liability company. We operate this website and the online store attached to it, along with the content, tools, features, and services that make up the shopping experience, referred to below as the Services. The store runs on the Shopify platform, which supplies the technology that makes the Services possible.

These terms, together with every policy referenced inside them, set out the rights and obligations that apply whenever you use the Services.

Read them carefully. They include disclaimers of warranty and limits on what we can be held liable for, both of which affect your legal position.

By browsing or otherwise using the Services, you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the store.

1. Eligibility and Your Account

By accepting these terms you confirm that you are at least eighteen years old, or the age of majority in the state where you live. If a minor in your care uses the Services on a device you own or control, their use is your responsibility.

To shop with us you may need to give us your email address along with billing, payment, and delivery details. You confirm that whatever you provide is accurate, current, and complete, and that you have the right to provide it.

Your login credentials are yours to protect, and you are accountable for anything done through your account. Accounts may not be sold, transferred, assigned, or licensed to anyone else.

2. Our Products

We take reasonable care to present our pieces accurately, but color, texture, and finish can appear differently in person depending on your screen, your device, and its display settings. We cannot promise that a garment will match your personal expectations exactly or look identical to the photographs on the site.

Product descriptions may be revised at any time without advance notice. We may also discontinue any piece, and we may limit how many of a given item any one customer, region, or jurisdiction may buy, deciding case by case.

3. Orders

Submitting an order is an offer to buy, not a completed contract. We may accept or decline any order at our discretion, and your order is confirmed only once we have accepted it. Payment must clear before acceptance. Please review your order before submitting it, since changes and cancellations may not be possible once an order has been accepted. If we decline, alter, or cancel an order, we will attempt to reach you using the email address, billing address, or telephone number you provided at checkout.

Returns and exchanges are governed by our Return and Refund Policy and by any consumer rights available to you under state or federal law.

You confirm that anything you buy is for your own personal or household use rather than for commercial resale or export.

4. Pricing and Payment

Prices, discounts, and promotions may change at any time without notice. The price that applies to your order is the one displayed when you place it, and it is restated in your order confirmation email. Prices are shown in US dollars and exclude sales tax, which is calculated at checkout based on your delivery address where applicable. Shipping within the United States is free, so no delivery charge is added.

Prices in our store may differ from those offered by other retailers. We occasionally run promotions under their own separate terms, and where those conflict with this document, the promotion terms control for that promotion.

You agree to give us accurate purchase, payment, and account information for every order, and to keep it current, including your email address and card details, so that we can process transactions and reach you when necessary.

You further confirm that the payment details you supply are true and complete, that you are authorized to use the payment method, that your card issuer or payment provider will honor the charge, and that you will pay the amounts due at the prices displayed, including any applicable tax.

5. Shipping and Delivery

Delivery windows are estimates rather than guarantees. We are not liable for delays caused by carriers, weather, or other circumstances outside our control. Risk of loss passes to you on delivery, and where a parcel is lost or damaged in transit we will resolve the matter as set out in our Shipping Policy.

6. Intellectual Property

The Services, including all trademarks, branding, written copy, graphics, photographs, video, audio, and the particular selection and arrangement of those elements, belong to Sonia Boutique, Ten Thirteen LLC, or our licensors, and are protected by United States and international intellectual property law.

These terms permit you to use the Services for your own personal, non-commercial purposes only. Without our prior written permission you may not copy, reproduce, distribute, modify, adapt, republish, download, store, transmit, or publicly display any material from the Services. Nothing here grants you a license under any trademark, copyright, patent, or other right belonging to us, to Shopify, or to any third party, except as expressly stated. Unauthorized use may violate intellectual property law. Every right we have not expressly granted is reserved.

The Sonia Boutique name, logo, and any associated designs, product names, and slogans are our trademarks and may not be used without written consent. The Shopify name and logo are trademarks of Shopify. Any other marks appearing on the Services belong to their respective owners.

7. Third-Party Tools

The Services may give you access to tools built by third parties that we neither control nor monitor. These are offered as they are and as available, with no warranty, representation, or endorsement from us, and we accept no liability arising from your use of them. Using them is entirely at your own risk, and you should satisfy yourself with the relevant provider's terms first. Any new features or tools we introduce later form part of the Services and fall under these terms.

8. Links to Third-Party Sites

The Services may contain content from, or links to, websites operated by others, including embedded third-party functionality. We do not vet that material and take no responsibility for its content or accuracy. Leaving our store to visit such a site is done at your own risk.

We are not responsible for loss or damage connected with your use of third-party websites or with anything you buy from them. Read the relevant third party's own policies before transacting, and address any complaint about their products or services to them directly.

9. Our Relationship with Shopify

Sonia Boutique runs on Shopify, which provides the technology behind the Services. Every sale made in our store is nevertheless a transaction directly between you and Sonia Boutique. By using the Services you acknowledge that Shopify bears no responsibility for any aspect of those transactions, including any injury, damage, or loss connected to the products you buy, and you release Shopify and its affiliates from claims and liabilities relating to your dealings with us.

10. Privacy

Personal information collected through the Services is handled according to our Privacy Policy, and some of it may additionally be covered by Shopify's own privacy policy. By using the Services you confirm you have read both.

Because our store is hosted by Shopify, Shopify collects and processes information about how the Services are accessed and used in order to provide and improve them. Information you submit may be shared with Shopify and with partners that operate in countries other than your own so that the Services can be delivered. Our Privacy Policy explains this in fuller detail.

11. Feedback and Submissions

If you send us ideas, suggestions, reviews, proposals, or other content, which we call Feedback, you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display it in any medium and for any purpose, including commercially, such as to operate, improve, and promote the Services.

You confirm that you own or hold the rights necessary to your Feedback, that you have disclosed any payment or incentive connected with it, and that it complies with these terms. We are not obliged to keep Feedback confidential, to pay for it, or to reply to it.

We may, without being required to, monitor, edit, or remove Feedback we consider unlawful, offensive, defamatory, obscene, or otherwise objectionable, or that infringes anyone's rights.

You agree that your Feedback will not infringe any third party's copyright, trademark, privacy, or publicity rights, and will not be unlawful, abusive, or obscene, or contain viruses or malicious code. You may not misrepresent your identity or the origin of anything you submit. You alone are responsible for what you post and for its accuracy, and we accept no liability for Feedback submitted by you or anyone else.

12. Errors and Inaccuracies

The Services occasionally contain typographical errors, inaccuracies, or omissions relating to descriptions, prices, promotions, delivery estimates, or availability. We may correct such errors and update or change information, and may cancel orders affected by inaccurate information, at any time and without prior notice, including after an order has been placed.

13. Acceptable Use

You may use the Services only for lawful purposes. You agree not to use them, directly or indirectly, for any unlawful or malicious purpose, in breach of any applicable law or regulation, to infringe intellectual property rights belonging to us or to anyone else, to harass, abuse, defame, intimidate, or harm any person, to submit false or misleading information, to send spam, junk mail, chain letters, or similar unsolicited material, to impersonate any person or entity, or in any way that restricts another person's use of the Services or exposes us, Shopify, or other users to harm or liability.

You further agree not to upload viruses or malicious code, not to copy, resell, or exploit any part of the Services, not to collect or track other people's personal information, not to spam, phish, pharm, spider, crawl, or scrape, and not to interfere with or circumvent the security of the Services or any related system. We may suspend, disable, or terminate your account at any time and without notice if we believe you have breached these terms.

14. Termination

We may end this agreement or withdraw your access to the Services, in whole or in part, at any time and at our discretion, without notice. You remain responsible for any amounts owed up to the date of termination.

The sections covering intellectual property, feedback and submissions, termination, disclaimer of warranties, limitation of liability, indemnification, severability, waiver and entire agreement, assignment, governing law, and privacy survive termination, as does any other provision that by its nature ought to continue.

15. Disclaimer of Warranties

Information provided through the Services is general in nature. We do not warrant that it is accurate, complete, or useful, and any reliance you place on it is at your own risk.

Except where we state otherwise in writing, the Services and everything offered through them are provided as they are and as available, without warranties or conditions of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement. We do not guarantee that your use of the Services will be uninterrupted, secure, timely, or free of error. Some states do not permit certain warranty exclusions, so parts of this section may not apply to you, and nothing here affects consumer rights that cannot be waived under applicable law.

16. Limitation of Liability

To the fullest extent the law allows, neither Sonia Boutique nor Ten Thirteen LLC, nor our members, officers, employees, affiliates, agents, contractors, service providers, or licensors, nor those of Shopify and its affiliates, will be liable for any injury, loss, or claim, or for any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including lost profits, lost revenue, lost data, or replacement costs, arising from your use of the Services or from any product purchased through them, even where the possibility of such damages was known. Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

17. Indemnification

You agree to indemnify and hold harmless Sonia Boutique, Ten Thirteen LLC, Shopify, and our respective affiliates, members, officers, employees, agents, contractors, licensors, and service providers from any loss, damage, liability, or claim, including reasonable attorneys' fees, brought by a third party and arising from your breach of these terms or any document they incorporate, your breach of any law or of any third party's rights, or your access to or use of the Services.

We will notify you of any claim for which we seek indemnity, though delay in doing so will not release you from your obligations unless it materially prejudices you. We may control the defense and settlement of such a claim at your expense, but will not agree to a settlement imposing non-monetary obligations on you without your consent, which you will not unreasonably withhold. You agree to cooperate with the defense.

18. Severability

If any provision of these terms is held unlawful, void, or unenforceable, it will still be applied to the greatest extent the law permits, and the unenforceable portion will be treated as severed. The validity and enforceability of the remaining provisions are unaffected.

19. Waiver and Entire Agreement

Our failure to exercise or enforce any right or provision does not waive it.

These terms, together with any policies or operating rules we publish in connection with the Services, form the entire agreement between you and us regarding your use of the store, and supersede any earlier agreement or communication, written or oral, including previous versions of these terms. Ambiguities will not be construed against us merely because we drafted them.

20. Assignment

You may not transfer, assign, or delegate these terms or any right or obligation under them without our prior written consent, and any attempt to do so is void. We may transfer, assign, or delegate these terms and our rights and obligations freely, without your consent and without notice.

21. Governing Law

These terms, and any separate agreement through which we provide the Services, are governed by the laws of the State of Missouri and the federal laws of the United States, without regard to conflict-of-law principles. You agree that the state and federal courts located in Missouri have jurisdiction over any dispute arising from them. Nothing in this section removes any consumer protection you are entitled to under the law of the state where you live.

Headings are included for convenience and do not affect how these terms are interpreted.

23. Changes to These Terms

The current version of these terms is always published on this page. We may update, change, or replace any part of them at our discretion by posting a revised version here, and checking back periodically is your responsibility. Where the law requires it we will notify you of material changes, which take effect on the date given in the notice. Continuing to use the Services after changes are posted means you accept them.
